These General Terms and Conditions of Sale (GTCS) apply to the automated data collection and personalized automation services offered by Robin Beaudru, sole proprietor, via the website ScrapingMind.com.

1. Scope

These GTCS govern any order for scraping or automation services placed by a professional, excluding any general purchasing conditions of the client. In case of conflict with a signed quote, the provisions of the quote shall prevail.

2. Nature of Services

The services include, among others: automated collection of publicly available data on the internet, processing of this data into deliverable files (CSV, JSON, etc.), development of custom software robots, business task automation, and maintenance of these services. Each service is subject to a quote validated by the client.

3. Orders and Quotes

Each order is preceded by a quote detailing the technical specifications, any constraints, the price, the schedule, and the delivery conditions. The client is responsible for providing the information necessary for technical evaluation. An order is considered accepted only upon receipt of the signed quote and the agreed payment.

4. Delivery

Delivery is made electronically (email, download link). Deadlines are provided for information purposes only. A delay shall not justify cancellation or penalties unless expressly agreed. Delivered files must be verified by the client within 7 days.

5. Maintenance and Support

Recurring services include basic maintenance up to 500,000 lines per month. Any request beyond this volume will be subject to an additional quote. Support is accessible by email or phone during the hours specified on the website.

6. Pricing and Payments

Prices are defined in each quote. Unless otherwise stated, payments are required before execution. Subscriptions are billed monthly on a fixed date. Any delay results in penalties amounting to 3 times the legal rate and a fixed compensation of 40 euros.

7. Warranty and Liability

Robin Beaudru does not guarantee the completeness or absolute accuracy of the collected data, especially in case of technical changes or blockages on source sites. In case of proven anomalies (inaccuracies exceeding 1%, non-exhaustiveness > 10%), a correction or partial refund may be offered. Maximum liability is limited to the amount paid for the relevant service.

8. Intellectual Property

Robots, scripts, and deliverables remain the property of Robin Beaudru unless otherwise stated. A non-exclusive usage license is granted to the client. The use of collected data is the sole responsibility of the client, who agrees to respect third-party rights.

9. Personal Data

The provider does not perform permanent storage of collected personal data unless explicitly requested by the client. Any collection of personal data is the responsibility of the client, as the data controller. The provider acts solely as a technical subcontractor under the GDPR.

10. Confidentiality

The exchanged information (scripts, strategies, data) is confidential. The client and the provider agree not to disclose this information during the contract term and for up to 5 years after its termination.

11. Force Majeure

In case of force majeure (network failure, unforeseen technical blockage, disaster, etc.), deadlines may be suspended or revised. No penalties can be applied in such cases.

12. Termination

In case of serious breach (non-payment, non-compliance with the GTCS, etc.), either party may terminate the contract after a formal notice remains unaddressed for 30 days. Services already performed remain payable.

13. Governing Law and Disputes

These GTCS are governed by French law. Any dispute relating to their interpretation or execution shall be under the exclusive jurisdiction of the Commercial Court of La Rochelle.
